Mutual Non-disclosure agreement for Customers

MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement (“Agreement”) is made and entered into as of the last date signed below (“Effective Date”) by and between Fluent Conveyors LLC, a Colorado corporation (“Fluent”), & (“Customer”).

WHEREAS, Fluent and Customer (“Parties”) have an interest in participating in business discussions and negotiations wherein either Party might share information with the other that the disclosing Party considers to be proprietary and confidential to itself (“Confidential Information”); and

WHEREAS, the Parties agree that Confidential Information of a Party might include, but not be limited to that Party’s: (1) trade secrets as defined under Colorado law; (2) business plans, methods, and practices; (3) personnel, customer lists, and suppliers; (4) inventions, processes, methods, products, patent applications, and other proprietary rights; or (4) specifications, drawings, sketches, models, samples, tools, computer programs, technical information, computer aided designs (CAD), or other related information, including information provided to Fluent by other third-party vendors, manufacturers or customers;

NOW, THEREFORE, the Parties agree as follows:

1. All information disclosed between the Parties shall be considered Confidential Information unless the Party disclosing said information notifies the Party receiving said information in writing (including via email) that the disclosed information is not Confidential Information.

2. The Party receiving Confidential Information (“Recipient”) from the other Party shall, for a period of three (3) years from the date of disclosure, refrain from disclosing such information to any third party without prior written approval from the disclosing Party. The Recipient must protect such Confidential Information with the same care as its own confidential data, but no less than reasonable care. The Recipient must ensure that employees, officers, directors or agents accessing Confidential Information are informed of its confidential nature and bound to follow this Agreement.

   The Recipient must notify the disclosing Party of any unauthorized disclosure, subpoena, or legal requirement forcing disclosure.

All Confidential Information remains property of the disclosing Party. No rights are transferred through this Agreement. Upon request, the Recipient must return or destroy all copies and notes of Confidential Information.

Information is NOT confidential if:

Already known by Recipient without confidentiality obligations.

Nothing here creates a partnership, agency or joint venture between Parties.

No Party may announce or disclose terms of this Agreement publicly without approval. They may only disclose existence of this Agreement to other Fluent-related business partners if required to advance business discussions.

This Agreement represents the full understanding between Parties and does not obligate either to share information or enter future agreements.

Both Parties believe information shared is accurate, but no warranty is given and information may be updated or corrected.

9. This Agreement is valid for three (3) years from the Effective Date unless mutually terminated in writing. Confidentiality obligations survive termination.
